Governance Model

The Provedor is responsible for leading, coordinating and overseeing Santa Casa da Misericórdia de Lisboa at the highest level and for appointing, from among the members of the Mesa (Board), the executive administrators of the departments, as well as for allocating the portfolios in relation to the supporting services.

On the Provedor’s proposal, the Mesa may delegate powers to carry out any of the acts needed to pursue its remit to one or more of its members.

• Drawing up the activity plans and budgets and submitting them for approval by the supervisory authority by 31 October, together with the opinions of the Institutional Council and the Games Council;

• Drawing up the management report and accounts and submitting them for approval by the supervisory authority by 31 March, together with the opinions of the Audit Council and the Games Council;

• Defining the guidelines and objectives for the departments and services and drafting the regulations and internal rules needed for the proper functioning of Santa Casa da Misericórdia de Lisboa;

• Creating, transforming and dissolving Santa Casa da Misericórdia de Lisboa’s establishments and regulating their organisation and operation;

• Signing cooperation agreements with other entities;

• Hiring staff, in accordance with the applicable legislation, and allocating them to the departments, services and establishments according to need;

• Authorising the procurement of goods and services, in accordance with the applicable legislation;

• Drawing up, where necessary, a proposal for the contracting of loans to be submitted for approval by the supervisory authority, together with the opinion of the Audit Council;

• Creating or taking part in the constitution of legal persons, where this is appropriate to pursue its remit, subject to the authorisation of the supervisory authority;

• Appointing representatives to the governing bodies of legal persons in which Santa Casa da Misericórdia de Lisboa has a stake;

• Acquiring, disposing of and encumbering Santa Casa da Misericórdia de Lisboa’s real estate, after authorisation from the supervisory authority;

• Authorising the acceptance of donations;

• Authorising the collection of revenue and the incurring of expenditure;

• Applying disciplinary sanctions in accordance with the law;

• Exercising the other powers conferred on it by law and by these Estatutos or which, although provided for in them, are not within the remit of other bodies.

• Overseeing the management of Santa Casa da Misericórdia de Lisboa and compliance with the rules governing its activity;

• Monitoring the execution of the budgets;

• Periodically reviewing the accounting records and following their development;

  Verifying the inventory and accuracy of all assets;

• Issuing an opinion on the annual management reports and accounts;

• Issuing an opinion on the contracting of loans and the issue of bonds;

• Issuing an opinion on any matter submitted for its consideration by the Mesa (Board) or by the Provedor;

• Commissioning audits, using specialist firms whenever necessary and so determined by the Audit Council;

• Requesting information and clarifications on the conduct of the institution’s activities.

• Issuing an opinion on the activity plans and budgets in the areas of social action, health and the promotion of quality of life;

• Putting forward suggestions and recommendations to improve performance and enhance the fulfilment of Santa Casa da Misericórdia de Lisboa’s statutory aims.

The Institutional Council is composed of the bodies listed below; the representation of each may vary from meeting to meeting, with the exception of the representative of the Irmandade da Misericórdia and São Roque (Brotherhood) and of the three members of recognised standing designated by the Provedor:

• Two representatives of the Ministry of Labour, Solidarity and Social Security (usually only one attends)
• One representative of the Ministry of Health
• One representative of the Ministry of the Economy and the Sea
• One representative of the area of Government overseeing local administration
• One representative of the Irmandade da Misericórdia and São Roque (Brotherhood) – Mário Pinto Coelho
• Three members of recognised standing designated by the Provedor:

  • Joaquina Madeira
  • Manuel Carvalho da Silva

• Issuing an opinion on the activity plan and budget of the Games Department, as well as on the reports and accounts that deliver them;

• Issuing an opinion on the operation of the social games authorised or granted to Santa Casa da Misericórdia de Lisboa;

• Issuing an opinion on the operation of other games by Santa Casa da Misericórdia de Lisboa;

• Issuing an opinion, when requested, on the operation of games by other entities.

The Games Council is composed of the bodies listed below; the representation of each may vary from meeting to meeting.

• One representative of the supervisory authority (Ministry of Labour, Solidarity and Social Security)

• One representative of the Ministry of Internal Administration
• One representative of the Ministry of Health
• One representative of the Ministry of Education
• One representative of the Ministry of Culture
